LTD. Terms and Conditions** Last updated : 10 October 2026 These Terms and Conditions (“**Terms**”) set the rules for individuals who use the RAYN Secure platform, website and related services (“**Platform**”). They form part of the RAYN Secure Master Services Agreement (“**MSA**”) between RAYN Secure Pte. Ltd. (“**RAYN Secure**”) and the organisation you represent. **Order of precedence.** If these Terms conflict with the MSA, the MSA prevails. Licensing limits, seat counts, fees, payment, refunds, liability and other commercial terms are governed by the MSA and your organisation’s Proposal, and these Terms do not create separate rights to them. **Acceptance.** By creating an account, or accessing or using the Platform, you confirm that you have read, understood and agree to be bound by these Terms and the MSA. ## 1. Eligibility and Authority You must be authorised by your organisation to access and use the Platform. If you are under 18, your organisation is responsible for making sure you may use the Platform, including any parental consent the law requires. If you accept these Terms on behalf of an organisation, you confirm that you have authority to bind that organisation. ## 2. Accounts and Security You are responsible for keeping your login credentials confidential and for all activity under your account. Your account is for you alone: do not share it or let anyone else use it. Tell RAYN Secure promptly if you suspect any unauthorised use of your account or any other security breach affecting it. ## 3. Acceptable Use You may use the Platform only for your organisation’s internal business purposes and in line with these Terms, the MSA and applicable laws. You must not: - copy, modify, redistribute or create derivative works of the Platform or its content, except as the Platform’s functions allow; - reverse engineer, decompile or try to extract the source code or course logic of the Platform; - circumvent or probe the security, access controls or usage limits of the Platform, or run security or penetration tests against it without RAYN Secure’s prior written consent; - upload malicious code, or use the Platform to infringe anyone’s rights or break the law; - use automated means, such as scraping or bots, to extract content or to complete assessments; - share your credentials, or answers to assessments, with anyone else; or - impersonate another person or interfere with the Platform’s operation or other users’ access. - it is needed to protect the security or integrity of the Platform or other users; - you breach these Terms or the MSA; - the law or a regulator requires it; or - your organisation’s subscription ends. ## 4. The Platform and Learning Content The Platform includes software features, tools, modules, integrations, analytics and learning content made available under your organisation’s subscription and configuration. RAYN Secure may update, modify or enhance the Platform from time to time. All training materials, content, certifications, documentation and related intellectual property on the Platform are owned by RAYN Secure or its licensors. You may use the content only through the Platform and only for its intended learning purposes. Nothing in these Terms gives you ownership of, or rights in, the Platform or its content beyond that use. ## 5. Certifications Certification Programs are structured, sequenced learning experiences designed to be completed within a defined time period. Eligibility, completion criteria and the issuing of certifications are decided by RAYN Secure and may vary by program. **Enrolment and completion.** You can be enrolled only if the completion date set for you falls within your organisation’s License Term. A program must be completed within the active License Term. Certifications are not extended, carried over or reissued beyond it unless agreed in writing, and failing to complete the required activities in that term voids certification eligibility for that term. **Validity.** Unless the program says otherwise, an individual certification is valid for twelve (12) months from issue. It is personal to you and cannot be transferred. Where RAYN Secure offers organisational certification, it is valid for twelve (12) months from issue unless the program says otherwise. **Suspension and revocation.** RAYN Secure may suspend or revoke a certification if: (a) your organisation does not renew its subscription; (b) your access is disabled or revoked; (c) the certification was issued in error; or (d) fraudulent or abusive activity is detected. **No compliance attestation.** Content described as aligned to a regulatory or industry framework does not mean you or your organisation is compliant with it. ## 6. Content You Submit If you or your organisation create or submit learning materials, assessments or other content through the Platform, the rights in it are set by clause 13 of the MSA. In short, your organisation keeps ownership, and RAYN Secure may host and process it only to provide the Platform and services to your organisation. Content you submit must be accurate and lawful, must not infringe anyone’s rights, must not contain malicious code, and must not include personal data except as necessary for program participation. ## 7. Suspension and Ending Access RAYN Secure may suspend or restrict your access to the Platform if: Where practicable, RAYN Secure will give notice first, keep the suspension to what is needed, and restore access once the cause is resolved. Suspension does not limit RAYN Secure’s rights under the MSA. ## 8. Privacy and Data Protection RAYN Secure handles personal data as described in its [Privacy Policy](https://www.raynsecure.com/privacy-policy?hsLang=en). Where RAYN Secure processes personal data on behalf of your organisation, the data protection terms in the MSA also apply. Data protection queries can be sent to dpo@raynsecure.com. ## 9. Disclaimers and Liability The Platform is provided on an “as is” and “as available” basis. To the maximum extent the law permits, RAYN Secure disclaims all warranties not expressly stated in the MSA. Learning content is provided for information and education. It is not legal advice, regulatory guidance or a guarantee of compliance, and reports from the Platform are not an opinion by RAYN Secure on your organisation’s legal or regulatory status. Your organisation remains responsible for meeting its own compliance obligations. Liability under these Terms is governed exclusively by clause 15 of the MSA. ## 10. Changes, Governing Law and Contact RAYN Secure may update these Terms from time to time. Updated versions will be posted at https://www.raynsecure.com/terms-conditions. Material changes apply prospectively and, where required, will need renewed acceptance. These Terms are governed by the laws of Singapore, as the MSA provides.
