Overview
These Terms & Conditions (“Terms”) govern your access to and use of the RAYN Secure platform, website, and related services (“Platform”).
These Terms form part of, and are incorporated by reference into, the RAYN Secure Master Services Agreement (“MSA”) between RAYN Secure and the organisation you represent.
Order of precedence. In the event of any conflict between these Terms and the MSA, the MSA shall prevail.
1. Eligibility and Authority
You must be at least 18 years old and authorised by your organisation to access and use the Platform.
If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have authority to bind that organisation.
2. Accounts and Security
You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted under your account.
You must notify RAYN Secure promptly of any unauthorised use or suspected security breach relating to your account.
3. Permitted Use
You may use the Platform solely for your organisation’s internal business purposes and in accordance with these Terms, the MSA, and applicable laws.
You must not:
- share accounts or login credentials;
- attempt to bypass access controls, usage limits, or security measures;
- use the Platform for unlawful, harmful, or misleading purposes;
- interfere with or disrupt the integrity or performance of the Platform;
- copy, scrape, or reverse engineer any part of the Platform.
Licensing limits, seat counts, certification eligibility, and commercial terms are governed exclusively by the MSA.
4. The Platform
The Platform includes various software features, tools, modules, integrations, analytics, and learning content made available based on your organisation’s subscription and configuration.
RAYN Secure may update, modify, or enhance the Platform from time to time as part of its ongoing operation.
5. Content and Learning Materials
All training materials, content, certifications, documentation, and related intellectual property provided through the Platform are owned by RAYN Secure or its licensors.
You may access and use content solely through the Platform and only for its intended learning purposes.
6. Certification Programs
Certification Programs are structured, sequenced learning experiences designed to be completed within a defined time period to support behavioural and compliance outcomes. Eligibility for enrollment, completion criteria, and issuance of certifications are determined by RAYN Secure and may vary by Program.
6.1 Enrollment Eligibility. Learners may only be enrolled into a Certification
Program if sufficient time remains in the applicable License Term to complete the required modules, assessments, and learning activities as designed. RAYN Secure is not obligated to modify Program timelines or requirements for late enrollments or shortened License Terms.
6.2 Completion and Non-Extension. Certification Programs must be completed within the active License Term. Certifications are not extended,
carried-over, or reissued beyond the License Term unless expressly agreed in writing. Failure to complete required activities within the License Term voids Certification eligibility for that Term.
6.3 Organisational Certification. Certain Certification Programs may, in the future, offer organisational Certification based on collective Learner completion metrics or other Program criteria. Where offered, Organisational Certifications will be valid for twelve (12) months from
issuance unless otherwise specified in the applicable Program.
6.4 Individual Certification Validity. Individual Certifications are issued to
the Learner and, unless otherwise specified in the applicable Certification
Program, remain valid for twelve (12) months from the date of issuance. Certifications may expire, require renewal, or be subject to revocation based on Program requirements. Certifications are personal to the Learner and do not transfer between Learners.
6.5 Revocation and Suspension. RAYN Secure may revoke or suspend Certifications where: (a) Customer fails to renew the underlying subscription, (b) Learner access is disabled or revoked, (c) Certifications are issued in error, or (d) fraudulent or abusive activity is detected.
6.6 Compliance Alignment and Non-Attestation. Certain content and learning materials offered through the Platform may be described as aligned to, mapped to, or designed to support compliance with regulatory, statutory, or industry frameworks (e.g., PDPA, CSA, MAS-TRM, ISO). Such descriptions refer solely to content alignment and do not constitute a representation, warranty, or attestation that Customer is compliant with any such framework. Customer remains solely responsible for assessing and achieving its own compliance obligations and for determining whether completion of any Program satisfies applicable legal, regulatory, audit, or contractual requirements.
These Terms do not grant or modify any certification rights.
7. Regulatory and Compliance Content
Certain content, training modules, or learning materials made available through the Platform may reference regulatory, statutory, or industry frameworks (e.g., PDPA, CSA, HIA, ISO, or similar requirements). Such content is provided for informational and educational purposes only and does not constitute legal advice, regulatory guidance, or a compliance guarantee. Customer remains solely responsible for determining the applicability of any laws, regulations, or standards to its business and for maintaining its own compliance obligations.
RAYN Secure may update content from time to time in response to changes in laws or industry standards, but does not guarantee that any content will be updated on a particular schedule or prior to any audit, assessment, or regulatory review. Customer is solely responsible for monitoring changes in applicable laws and ensuring its own compliance. RAYN Secure shall not be liable for any regulatory fines, penalties, audit findings, or damages arising from or related to Customer’s compliance obligations.
8. Fees and Subscriptions
Fees, subscription terms, payment obligations, and refunds are governed by the MSA and applicable Order Forms.
These Terms do not create any independent payment or refund rights.
9. Customer Authored Content.
Customer may create or submit its own learning materials, assessments, or other content through the Platform (“Customer Authored Content”). Customer represents and warrants that Customer Authored Content: (a) is accurate and lawful, (b) does not infringe any third-party rights, (c) does not contain malicious code, and (d) does not include personal data except as necessary for Program participation. Customer retains ownership of Customer Authored Content subject to the rights granted under the MSA.
10. Suspension and Termination of Access
RAYN Secure may suspend or restrict access to the Platform if:
- these Terms or the MSA are violated;
- there is suspected misuse, fraud, or security risk;
- required fees are overdue.
Suspension or restriction under these Terms does not limit RAYN Secure’s rights under the MSA.
11. Third Party Users.
Subject to Customer purchasing the applicable number of
Learner licenses, Customer may assign accounts to contractors, consultants, and other third parties who require access for Customer’s internal business purposes. Customer remains responsible for their compliance with the MSA and these Terms.
12. Data Protection and Privacy
RAYN Secure processes personal data in accordance with its Data Protection Policy and Privacy Policy, each incorporated by reference.
Where RAYN Secure processes personal data on behalf of an organisation, the Data Processing Addendum referenced in the MSA applies.
13. Intellectual Property
RAYN Secure retains all rights, title, and interest in and to the Platform and all related intellectual property.
Nothing in these Terms grants ownership or rights beyond those expressly permitted.
14. Disclaimers
The Platform is provided on an “as is” and “as available” basis.
To the maximum extent permitted by law, RAYN Secure disclaims all warranties not expressly stated in the MSA.
15. Reporting and Audit Evidence.
The Platform may provide reports, dashboards, or other artifacts evidencing Learner participation, progress, and Certification outcomes. Such information is provided solely for Customer’s internal compliance, audit, or recordkeeping purposes and does not constitute a certification or opinion by RAYN Secure regarding Customer’s regulatory or legal compliance status.
16. Limitation of Liability
Any limitation of liability is governed exclusively by the MSA.
17. Changes to These Terms
RAYN Secure may update these Terms from time to time. Updated versions will be posted at:

Material changes will apply prospectively and, where required, will require renewed acceptance.
18. Governing Law
These Terms are governed by the laws specified in the MSA.
